1. Introduction

Welcome to Maira Services LLC. These Terms of Service (“Terms”) govern your access to and use of our website at www.mairaservices.com, including all content, functionality, and services offered thereon (collectively, the “Services”). By accessing the Site, placing an order, or using the Services, you agree to these Terms. If you disagree, do not use the Site or Services. These Terms constitute a binding agreement between you (“you,” “user,” or “customer”) and Maira Services LLC, an Arizona limited liability company.

We may amend these Terms at any time. Material changes will be posted on the Site with an updated “Effective Date.” Continued use constitutes acceptance. Review the Terms periodically.

2. Definitions

• Digital Goods: Non-physical products, including e-books, templates, guides, psychometric assessment reports, online courses, lessons, webinars, and workshops.

• Services: Offerings such as psychometric assessments for personal, professional, business, and organizational development (including hiring support, team building, and career consulting), professional and business consulting, writing, editing, English tutoring, ghostwriting, writing workshops, piano teaching, and piano accompaniment.

• Order: A purchase request for Digital Goods or Services via the Site.

• User Content: Materials you upload, submit, or transmit, such as manuscripts, writing prompts, audio files, or assessment responses.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of contracting to use the Site or Services. You represent compliance with these requirements. We do not serve minors.

4. Orders, Purchases, and Payments

4.1 Order Process

Orders are subject to our acceptance. We generally confirm receipt by email, but this does not guarantee acceptance. We may reject or cancel for pricing errors, unavailability, fraud, or Terms violations. Canceled Orders receive prompt refunds.

4.2 Pricing and Taxes

Prices are in USD, excluding taxes, duties, or fees unless specified. You bear all taxes. Prices may change without notice but not for confirmed Orders. Services may be priced hourly, project-based, or by subscription.

4.3 Payment Methods

Payments are processed via Stripe, compliant with PCI-DSS. You authorize charges for Orders, including recurring subscriptions. We are not liable for disputes with processors; resolve them directly.

4.4 Subscriptions and Recurring Services

Subscriptions (e.g., tutoring packages, workshops, consulting) auto-renew at current rates unless canceled via mairaservices.contact@gmail.com before renewal. No refunds, including for partial periods.

5. Delivery, Access, and Performance

5.1 Digital Goods

Digital Goods are delivered electronically via email (link or attachment) within 72 hours post-payment. Access requires compatible devices; we are not liable for technical failures.

5.2 Services

Services are performed as described or scheduled. Provide required materials timely for interactive Services. We strive for quality but guarantee no specific outcomes (e.g., publication, skill improvement, career advancement).

5.3 Revocation of Access

Access may be revoked for Terms violations, non-payment, or at our discretion, without refund.

6. Returns, Refunds, and Cancellations

Sales of Digital Goods and Services are final post-delivery. No refunds, exchanges, or cancellations. You acknowledge this upon purchase.

7. Intellectual Property

The Site, Services, and Digital Goods (excluding User Content) are protected by IP laws. No reproduction, distribution, modification, or reverse-engineering without consent.

For Services like writing, editing, ghostwriting, or assessments, you grant a limited license for performance. Upon payment, rights revert to you; we may use in portfolio with consent.

8. User Content and Conduct

You own User Content but grant us a worldwide, royalty-free, perpetual license for performing our Services. You warrant non-infringement and compliance.

Prohibited: uploading viruses; harassment; illegal use; scraping; unauthorized commercial use. Violations may lead to termination and legal action.

9. Disclaimers and Limitation of Liability

Site and Services are “as is” without warranties, including merchantability or fitness. No guarantees of access, performance, or results (e.g., proficiency gains, project success, insights, advancements).

Liability limited to amounts paid in prior 12 months. No indirect, consequential, or punitive damages, even if advised.

10. Indemnification

You indemnify us and affiliates against claims from your User Content, Terms violations, or misuse.

11. Governing Law and Dispute Resolution

Governed by Arizona law. Disputes resolved exclusively in Maricopa County, Arizona courts.

12. Changes to Site/Services

We may modify, suspend, or discontinue without notice or liability.

13. Miscellaneous

These Terms are the entire agreement. Invalid provisions do not affect others. No waiver. No assignment by you without consent; we may assign. Force majeure excuses delays.
